AFFILIATE AGREEMENT

Effective Date: 4/3/2026

This Affiliate Agreement (“Agreement”) governs your participation in the Stanky Flowers LLC Affiliate Program (“Program”). By applying to or participating in the Program, you agree to the terms outlined below.

1. DEFINITIONS

Company refers to Stanky Flowers LLC

Affiliate refers to the approved partner participating in the Program

Program refers to the Stanky Flowers LLC Affiliate Program

Affiliate Link refers to the unique tracking link assigned to each Affiliate

2. APPLICATION & APPROVAL

  • All affiliates must submit an application to join the Program
  • Submission of an application does not guarantee acceptance
  • Stanky Flowers LLC reserves the right to approve or reject any application at its sole discretion
  • Approved affiliates will receive onboarding instructions and a unique Affiliate Link

3. NON-EXCLUSIVITY

  • This Agreement does not create an exclusive relationship
  • Affiliates may promote other products or services
  • Stanky Flowers LLC may work with other affiliates or partners at any time

4. COMMISSION STRUCTURE

Affiliates earn commission based on referred sales through their unique link:

  • Tier 1: 20% commission (base level)
  • Tier 2: 25% commission (volume-based)
  • Tier 3: 30% commission (top-performing affiliates)

Additional terms:

  • Commission is calculated on net product revenue, excluding taxes and shipping
  • Commission tiers may be adjusted at the discretion of Stanky Flowers LLC
  • No cap on earnings

5. TRACKING & ATTRIBUTION

  • Sales are tracked through the Affiliate’s unique Affiliate Link
  • Attribution is based on last-click tracking
  • Stanky Flowers LLC is not responsible for lost tracking due to incorrect link usage
  • Stanky Flowers LLC is not responsible for manual or offline referrals not tied to the Affiliate Link

6. PAYMENTS

  • Commission payouts are issued on a recurring schedule, such as weekly or bi-weekly
  • Minimum payout thresholds may apply
  • Affiliates are responsible for providing accurate payment details

7. AFFILIATE RESPONSIBILITIES

Affiliates agree to:

  • Promote Stanky Flowers LLC in a lawful and ethical manner
  • Use only approved branding and messaging
  • Avoid misleading, deceptive, or false claims
  • Comply with all applicable local, state, and federal laws

Affiliates may not:

  • Misrepresent Stanky Flowers LLC products or services
  • Engage in spam, unauthorized advertising, or illegal marketing practices
  • Use the Program in any way that damages the brand

8. COMPLIANCE & LEGAL POSITION

Stanky Flowers LLC operates as a direct-to-consumer platform. Affiliates act solely as independent referral partners.

Affiliates do not:

  • Sell products directly
  • Handle inventory
  • Fulfill orders

Affiliates are responsible for ensuring their own compliance with applicable laws in their jurisdiction.

9. TERMINATION

Stanky Flowers LLC reserves the right to terminate an affiliate account at any time, including but not limited to:

  • Violation of this Agreement
  • Misuse of affiliate links
  • Brand misuse or reputational risk

Upon termination:

  • Unpaid commissions may be forfeited if violations occurred
  • Access to the Program will be revoked

10. MODIFICATIONS

  • Stanky Flowers LLC may update or modify this Agreement at any time
  • Continued participation in the Program constitutes acceptance of any updated terms

11. LIMITATION OF LIABILITY

Stanky Flowers LLC is not liable for:

  • Indirect or incidental damages
  • Lost profits due to tracking errors or technical issues
  • Third-party platform disruptions

12. INDEPENDENT CONTRACTOR STATUS

  • Affiliates are independent contractors
  • Nothing in this Agreement creates an employment relationship, partnership, or joint venture

13. GOVERNING LAW

This Agreement shall be governed by the laws of the United States and applicable state jurisdictions.

14. ACCEPTANCE

By applying to or participating in the Stanky Flowers LLC Affiliate Program, you acknowledge that:

  • You have read and understood this Agreement
  • You agree to be bound by its terms
  • You are legally eligible to participate
